Guantao advises China Oriental Group on successful acquisition of controlling stake in Zhuhai Feima
Recently, China Oriental Group Company Limited ("China Oriental Group", stock code: 00581.HK), through its subsidiary Hebei Jinxi Steel Group Heavy Industry Technology Co., Ltd. ("Jinxi Heavy Industry"), held a signing ceremony for the transaction to acquire a controlling stake in Zhuhai Feima Hardware Components and Parts Co., Ltd. ("Zhuhai Feima"), a high-tech enterprise.
Jinxi Heavy Industry is a subsidiary of Jinxi Group, a holding entity under China Oriental Group, specializing in equipment manufacturing. Through this transaction, Jinxi Heavy Industry will enter the field of precision robot joint reducers, aiming to establish itself as a leading listed enterprise in precision manufacturing within the smart AI sector. Zhuhai Feima primarily engages in the R&D, production, and sales of precision RV joint reducers. Its reducer products are widely used in industrial robotics, CNC machine tools, aerospace, new energy vehicles, and other fields. In 2022, Zhuhai Feima ranked among the top three in China's RV reducer market share for industrial robots. By 2023, it commanded over 50% market share among domestic reducer brands in the industry.
The sellers in this transaction are Hong Kong-based and Italian enterprises. The transaction structure must simultaneously address compliance requirements for both foreign investor exit and regulatory oversight of state-owned shareholders. Guantao served as legal counsel to Jinxi Group, providing comprehensive legal services including due diligence, transaction structure design, drafting and negotiation of agreements, corporate governance adjustments, and closing assistance.
